1. Acceptance of Terms
By accessing and using the services of Crossthread ("we," "our," or "us"), you ("client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
Crossthread provides specialized technical consulting and development services, including but not limited to:
- Project rescue and recovery services
- Full-stack software development
- ERP system implementations and integrations
- Embedded systems development
- Infrastructure and DevOps consulting
- IT governance and compliance frameworks
- Technical consulting and architecture reviews
- Research and development integration
3. Service Agreements
Specific project terms, deliverables, timelines, and compensation will be outlined in separate service agreements or statements of work. These Terms of Service apply to all engagements unless specifically modified in writing.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information about your project requirements
- Grant necessary access to systems, documentation, and personnel
- Respond promptly to requests for feedback and approvals
- Make payments according to agreed terms
- Maintain confidentiality of any proprietary information shared by us
5. Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise agreed:
- Invoices are due within 30 days of receipt
- Late payments may incur interest charges
- Services may be suspended for overdue accounts
- All fees are non-refundable unless specifically agreed otherwise
6. Intellectual Property
Unless otherwise specified in a service agreement:
- You retain ownership of your existing intellectual property
- We retain ownership of our pre-existing tools, methodologies, and knowledge
- Work product created specifically for your project will be owned by you upon full payment
- We may retain the right to use general knowledge and experience gained
7. Confidentiality
We commit to maintaining the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law or as necessary to provide our services.
8. Limitation of Liability
To the maximum extent permitted by law, Crossthread shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.
9. Warranties and Disclaimers
We provide our services using commercially reasonable skill and care. However, we make no warranties regarding:
- Uninterrupted or error-free service delivery
- Specific business outcomes or results
- Compatibility with all third-party systems
- Performance of legacy or inherited systems
10. Termination
Either party may terminate a service agreement with appropriate notice as specified in the agreement. Upon termination:
- You will pay for all services rendered up to the termination date
- We will deliver any completed work product
- Both parties will return or destroy confidential information
11. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or other unforeseeable events.
12. Governing Law
These terms shall be governed by and construed in accordance with the laws of Alberta, Canada, without regard to conflict of law principles.
13. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
